Terms of Service

1. Acceptance of these Terms
These Terms of Service ("Terms") form a binding contract between you and Kovered LLC, a California limited liability company located at 2108 N St, Ste N, Sacramento, CA 95816 ("Kovered", "we", "us", or "our"). They govern your access to and use of (a) the Kovered mobile application, (b) the Kovered website at trykovered.com (the "Website"), and (c) all related services, features, and content (collectively, the "Service").
By creating a Kovered account, accessing the Service, or using any feature of the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.
IMPORTANT — PLEASE READ CAREFULLY: Section 20 contains a mandatory binding arbitration provision and class action waiver that affect your legal rights. By accepting these Terms, you agree to resolve disputes with Kovered through individual arbitration and waive your right to a jury trial or to participate in any class action.
2. About Kovered
Kovered is a technology platform that connects individuals seeking help with everyday tasks ("Askers") to other individuals who offer to perform those tasks for compensation ("Helpers"). Kovered provides software, payment processing, identity verification (through third parties), messaging, and dispute administration tools to facilitate these connections.
Kovered is not a service provider. Kovered does not perform any tasks itself, does not employ Helpers, and does not direct, supervise, or control how Helpers perform tasks. Kovered's role is limited to providing the software and services that allow Askers and Helpers to find one another and transact safely. The actual performance of tasks is between the Asker and the Helper.
This distinction matters legally: Helpers are independent contractors of the Askers who hire them, not employees of Kovered. See Section 6.
3. Eligibility
To use the Service, you must:
- Be at least 18 years old.
- Be a resident of the United States (50 states + the District of Columbia). The Service is intended for U.S. residents only. We do not actively solicit users outside the U.S. If you access the Service from outside the U.S., you do so at your own risk and are responsible for compliance with your local laws.
- Have the legal capacity to enter into binding contracts.
- Not be on any U.S. government list of prohibited or restricted parties (e.g., OFAC sanctions list).
- Not have been previously suspended or banned from the Service.
- For Helpers only: complete identity verification through Stripe Identity, complete a Helper application reviewed and approved by Kovered, and set up a Stripe Connect account to receive payouts.
You may not use the Service on behalf of a third party (i.e., agencies running multiple Helper accounts), and account sharing is prohibited.
If you are using the Service in connection with your work for an organization, you represent that you have authority to bind that organization to these Terms.
4. Account Creation and Security
To use most features, you must create a Kovered account by providing a valid email address, your full legal name, date of birth, and other information we may request. You agree to:
- Provide accurate, current, and complete information.
- Promptly update your information to keep it accurate.
- Maintain the security and confidentiality of your account credentials, including the one-time codes we email you for authentication.
- Not share your account with anyone else.
- Notify us immediately at hello@trykovered.com if you suspect unauthorized access to your account.
You are responsible for all activity that occurs under your account, whether or not authorized by you, until you notify us of unauthorized access.
We may, in our sole discretion, refuse to create an account, suspend an account pending verification, or terminate an account for violations of these Terms.
5. User Roles
The Service supports two roles. The same user account may operate in either or both roles.
Asker. A user who posts a task they need help with, agrees to a price, and pays through the Service. Askers may also become Helpers by completing the Helper requirements in Section 3.
Helper. A user who has completed identity verification (via Stripe Identity), submitted a Helper application that Kovered has approved, and connected a Stripe Connect account. Helpers may apply to tasks posted by Askers, perform agreed-upon tasks, and receive payouts.
A single user account may simultaneously be an Asker (posting tasks) and a Helper (accepting tasks from other Askers). Each role is governed by the relevant provisions of these Terms.
6. Helper Independent Contractor Status
HELPERS ARE INDEPENDENT CONTRACTORS, NOT EMPLOYEES OF KOVERED.
By becoming a Helper, you acknowledge and agree that:
- You are an independent contractor offering services directly to Askers. Kovered is not your employer.
- You control how you perform tasks. Kovered does not dictate the methods, tools, schedule, or manner in which you complete a task. You are free to accept or decline any task.
- You provide your own equipment, supplies, transportation, and any necessary licenses or insurance to perform tasks.
- You set your own schedule and decide when, where, and how often to use the Service.
- You may work for competing platforms or perform similar services off-platform, except that you may not solicit Askers to transact off-platform to evade Kovered fees (see Section 12).
- Kovered does not provide wages, overtime, employee benefits, workers' compensation, unemployment insurance, paid time off, sick leave, retirement contributions, health insurance, or any other employee protections.
- You are solely responsible for your own taxes, including self-employment tax. Kovered will issue an IRS Form 1099-NEC if you earn $600 or more through the Service in a calendar year, but you are responsible for reporting and paying all applicable taxes regardless of whether a 1099 is issued.
- The relationship between you and Kovered is not one of employer-employee, partnership, joint venture, agency, or franchise.
Kovered is a technology platform, not a service provider. Kovered's usual course of business is providing software, payment processing, and marketplace infrastructure — not performing tasks. Helpers are engaged in their own customarily independent trades and use Kovered as a customer-acquisition channel.
If applicable law in your jurisdiction reclassifies your relationship with Kovered notwithstanding this Section, the parties agree that the relationship shall be governed by the most favorable independent-contractor framework available under that law.
7. How Tasks Work
A typical task on the Service follows this lifecycle:
- Posting. An Asker creates a task with a title, description, location (or "virtual"), proposed price, and any media (photos or videos).
- Funding. The Asker funds the task by paying the agreed price plus the Asker fee through the Service. Funds are held by Kovered in a payment escrow until task completion.
- Application. Approved Helpers may apply to the task with a message and (optionally) a counter-price. The Asker reviews applications.
- Acceptance. The Asker selects a Helper. The Helper is notified and may accept or decline.
- Performance. The Helper performs the task as agreed with the Asker.
- Proof and Approval. The Helper submits proof of completion (photos, videos, or both). The Asker reviews the proof and either approves the task as completed or files a dispute (Section 11).
- Payout. Upon Asker approval — or after the dispute window expires with no dispute filed — Kovered transfers the task price (less the Helper fee) to the Helper's Stripe Connect account, subject to the payout hold in Section 9.
- (Optional) Tip. The Asker may, at their discretion, send a tip directly to the Helper. Tips are processed at 0% Kovered fee — Helpers receive 100% of tips.
Kovered does not guarantee that any task will be performed, that any Helper will be available, or that any task will be completed to the Asker's satisfaction. Kovered facilitates connections; performance is between the Asker and Helper.
8. Fees and Payments
8.1 Platform fees
Kovered charges a platform fee on each task processed through the Service:
- Asker fee: 10% of the agreed task price, paid by the Asker at the time of task funding.
- Helper fee: 10% of the agreed task price, deducted from the Helper's payout.
For example, on a task with an agreed price of $100:
- Asker pays Kovered $110 ($100 task price + $10 Asker fee).
- Helper receives $90 ($100 task price − $10 Helper fee), subject to the payout hold in Section 9.
- Kovered retains $20 in fees.
8.2 Tips
Tips sent from Askers to Helpers are processed at 0% Kovered fee. The Helper receives 100% of any tip amount, less only standard third-party payment processing fees imposed by Stripe. Tips are voluntary and never required for any task.
8.3 Payment processing
All payments on the Service are processed by Stripe. By using the Service, you agree to Stripe's Connected Account Agreement and Privacy Policy. Kovered does not store full payment card numbers, bank account numbers, or other sensitive payment credentials — these are handled directly by Stripe. Please refer to Stripe's terms at https://stripe.com/legal and Stripe's privacy policy at https://stripe.com/privacy.
8.4 Currency, taxes, and pricing changes
All prices are in U.S. dollars. You are responsible for any applicable sales, use, or other taxes that may apply to a task.
Kovered may change its fees from time to time. Any change to fees will be announced at least 30 days in advance through the Service or by email and will apply only to tasks posted after the change takes effect.
8.5 Failed payments and chargebacks
If your payment method is declined, payment is reversed by your bank, or you initiate a chargeback that Kovered determines is invalid, Kovered may:
- Suspend your account until the issue is resolved.
- Recover the disputed amount from any future Service activity, including from your Helper payouts if you operate as a Helper.
- Report the chargeback to Stripe and decline future payments from your payment method.
- Pursue legal collection, including referring the debt to a collection agency, in cases of fraudulent chargebacks.
9. Payouts to Helpers
9.1 Payout schedule
Helper payouts are subject to a 3-day hold ("Payout Hold") after the task is marked complete by the Asker. The Payout Hold is measured in calendar days (Kovered operates 24/7, including weekends and holidays). During the Payout Hold:
- Funds are reserved in Kovered's payment escrow.
- The Asker may file a dispute (Section 11). If a dispute is filed before the Payout Hold expires, the funds remain held until Kovered resolves the dispute.
- After the Payout Hold expires with no dispute filed, the funds are automatically transferred to the Helper's Stripe Connect account.
9.2 Stripe Connect
Helper payouts are processed through Stripe Connect Express. Helpers must complete Stripe Connect onboarding (which includes additional identity verification by Stripe and connection of a U.S. bank account) before any payout can be issued.
Once funds are transferred to a Helper's Stripe Connect account, Stripe controls the timing of bank deposits based on the Helper's Stripe payout schedule, which is currently weekly (paid out on Mondays). A Helper's very first payout may take additional days due to a standard one-time Stripe verification hold. Helpers may also cash out an available balance instantly at any time for a fee charged by Stripe.
9.3 Payout failures
If Stripe rejects a payout transfer (e.g., due to invalid bank information, fraud flags, or account restrictions), Kovered will attempt to notify the Helper and re-attempt the payout. If a payout cannot be successfully issued within 60 days of the original payout date, the funds may be returned to the Asker.
9.4 1099 reporting
If you are a Helper and earn $600 or more through the Service in a calendar year, Kovered (or Stripe on Kovered's behalf) will issue an IRS Form 1099-NEC (or equivalent successor form) by January 31 of the following year. You are responsible for reporting and paying all applicable taxes on your Helper earnings, regardless of whether a 1099 is issued.
10. Cancellations, Refunds, and Free-Cancellation Credits
10.1 Pre-acceptance cancellations (always free)
Before any Helper has accepted a task, the Asker may cancel the task at any time and receive a full refund of the task price and Asker fee. No penalty applies.
10.2 Post-acceptance cancellations and back-outs
After a Helper has accepted a task, cancellations and back-outs are subject to the following:
Free Cancellation Credit System. Each user receives:
- One (1) free Asker-cancellation per calendar month, used when canceling a task as the Asker after a Helper has accepted.
- One (1) free Helper-back-out per calendar month, used when backing out as the Helper after accepting a task.
These credits are tracked independently per role — a user who acts as both Asker and Helper has both credits available simultaneously.
Reset. Free Cancellation Credits reset to one (1) on the first day of each calendar month, based on Pacific Time (America/Los_Angeles) including observance of daylight saving time. Unused credits do not carry over (use-it-or-lose-it).
Admin-granted credits. Kovered's admin may, in its sole discretion, grant additional Free Cancellation Credits to any user. Admin-granted credits do not expire until used.
10.3 Penalties when no Free Cancellation Credit is available
When a user cancels post-acceptance with no Free Cancellation Credit available:
Asker (no credit available):
- Forfeits the 10% Asker fee on the canceled task.
- Pays the Helper a 20% kill fee of the agreed task price (compensation for the Helper's reserved time and scheduling).
- Receives a refund of the remaining task price.
- Counts as one Asker strike (see Section 16).
Helper (no credit available):
- Pays the Asker a 15% kill fee of the agreed task price, debited via Stripe Connect from the Helper's account or, if no funds are available, withheld from the Helper's next payout.
- Counts as one Helper strike (see Section 16).
10.4 Refunds outside cancellations
Apart from the cancellation rules above, Askers may seek a refund only by filing a dispute under Section 11. Kovered does not offer general money-back guarantees. Once a task has been completed and approved by the Asker, no refund is available.
11. Disputes Between Users
11.1 First, talk to each other
Most issues between Askers and Helpers can be resolved through direct communication. Kovered's chat feature is provided for this purpose. If you have a problem with a task, please first attempt to resolve it directly with the other user.
11.2 Filing a dispute with Kovered
If direct communication fails, an Asker may file a dispute with Kovered before approving task completion. Disputes must be filed within 3 days of the Helper marking the task complete (i.e., before the Payout Hold expires). The 3-day window is measured in calendar days.
A dispute may also be filed by either party in cases of:
- Helper failing to perform the task or showing up
- Asker refusing to provide access to perform the task
- Damage caused during task performance
- Fraudulent or misleading task descriptions
- Safety concerns
To file a dispute, use the in-app dispute feature and provide a description of the issue, supporting evidence (photos, videos, chat screenshots), and any other relevant information.
11.3 Kovered's dispute review
Kovered will review each dispute and may request additional information from either party. Kovered's dispute decision is final with respect to the disputed funds (release to Helper, refund to Asker, or split). Kovered's dispute decision does NOT waive either party's right to pursue arbitration under Section 20 for any underlying legal claim.
Kovered acts as a neutral administrator in disputes. Kovered is not providing legal advice, mediation services, or guarantees of outcome. Kovered's dispute decisions are limited to determining the disposition of funds held in payment escrow.
11.4 Off-platform disputes
Kovered's dispute process applies only to the disposition of funds held in escrow. Any other claims between users (e.g., personal injury, property damage exceeding the task price, harassment) are between the users and are not adjudicated by Kovered. Kovered is not liable for any conduct, action, or omission of any user (see Section 18).
12. User Conduct
You agree NOT to:
- Harass, threaten, intimidate, stalk, or use hate speech against any other user, Kovered employee, or third party.
- Engage in any illegal activity through the Service, including but not limited to: drug deals, prostitution, weapons sales, sale of stolen goods, fraud, or any activity prohibited by federal, state, or local law.
- Commit fraud, including: posting fake tasks, using false identities, initiating invalid chargebacks, or attempting to extract refunds without legitimate cause.
- Solicit or arrange payment off-platform to evade Kovered fees. This includes asking another user to pay you via Venmo, Zelle, cash, or any non-Kovered payment method for a task initiated through the Service.
- Impersonate any other person, including any other Kovered user, Kovered employee, or any public figure.
- Use the Service for purposes other than as intended. Specifically, do not use the Service to operate a service business with multiple Helper accounts under your control, run an agency, or post tasks not suited for Kovered's task-help purpose (e.g., dating, escort services, drug deals, requests for illegal services).
- Use bots, scrapers, automated tools, or any other automated means to access the Service or extract data from it.
- Share your account with anyone or allow another person to use your account.
- Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Service.
- Interfere with or disrupt the Service, including attempting to overload our servers, exploiting bugs, or injecting malicious code.
Violation of any provision of this Section may result in immediate termination of your account, forfeiture of held funds (subject to refund of Asker funds for unperformed tasks), and reporting to law enforcement where applicable.
13. User Content
13.1 What is User Content
"User Content" means any text, images, videos, audio, or other materials that you upload, post, transmit, or otherwise make available through the Service, including but not limited to: task descriptions, task photos and videos, chat messages, proof-of-completion photos and videos, dispute evidence, profile information, and reviews.
13.2 Your responsibility for User Content
You are solely responsible for all User Content you submit. You represent and warrant that:
- You own the User Content or have all necessary rights to submit it.
- The User Content does not infringe the intellectual property, privacy, publicity, or other rights of any third party.
- The User Content complies with all applicable laws and these Terms.
- The User Content does not contain any prohibited content as described in Section 13.4.
13.3 License to Kovered
You grant Kovered a non-exclusive, royalty-free, worldwide license to host, store, display, transmit, copy, modify (only as technically necessary for service operation, e.g., image compression and format conversion), and process your User Content solely for the purpose of operating, providing, and maintaining the Service.
This license:
- Is strictly limited to operating the Service. Kovered will NOT use your User Content for marketing, advertising, sale to third parties, or any other purpose without your separate, explicit consent.
- Terminates when you delete the relevant User Content or close your account, except that Kovered may retain copies for up to 30 days thereafter for backup and dispute-resolution purposes, plus longer retention as required by law (e.g., transaction records for tax purposes).
- Does not transfer ownership of your User Content to Kovered. You retain all ownership rights.
13.4 Prohibited content
You may not upload, post, or transmit any content that:
- Constitutes child sexual abuse material (CSAM) or any sexual content involving minors. Such content will be reported to the National Center for Missing & Exploited Children (NCMEC) and law enforcement as required by federal law.
- Contains sexually explicit content involving adults.
- Depicts graphic violence, gore, or torture.
- Doxxes, harasses, threatens, or incites violence against any person.
- Infringes copyright, trademark, or other intellectual property rights.
- Contains spam, phishing, malware, viruses, or other malicious code.
- Contains personally identifiable information of third parties (other than the user posting) without that person's consent.
- Advocates illegal activity.
13.5 Content scanning
You acknowledge and consent that Kovered may, at any time and without notice, scan User Content (including chat photos, task photos, proof images, and dispute evidence) using automated tools, third-party services, and human review for the purposes of:
- Detecting CSAM (legally required scanning + reporting).
- Detecting prohibited content under Section 13.4.
- Investigating potential Terms violations.
- Complying with legal obligations.
This scanning may include the use of industry-standard photo hash matching services (such as Microsoft PhotoDNA), automated content classifiers, or similar technologies. Scanning is automated where possible; manual human review by Kovered staff is performed only when automated scanning flags content for review.
13.6 Removal of content
Kovered reserves the right (but has no obligation) to remove, modify, or disable access to any User Content that we believe violates these Terms, is illegal, or is otherwise objectionable. We may do so without prior notice and without liability to you.
14. Helper Verification and Background Checks
14.1 Identity verification
All Helpers must complete identity verification through Stripe Identity before being approved as Helpers. Identity verification involves:
- Uploading a government-issued photo ID (driver's license, passport, state ID).
- Submitting a selfie that Stripe matches to the ID photo.
- Confirming basic information (name, date of birth).
The identity documents and selfies are uploaded directly to Stripe and are NOT stored on Kovered's servers. Stripe stores and retains these documents per Stripe's own data retention policies. Kovered receives only extracted metadata (legal name, date of birth, document type, country, last 4 digits of document number, expiration date).
14.2 Helper application review
In addition to identity verification, Helpers must submit a Helper application with information about themselves and their offered services. Kovered's admin team reviews each application. Approval is at Kovered's sole discretion. Kovered may:
- Approve the application.
- Request additional information.
- Reject the application without giving a reason.
- Revoke approval at any time.
14.3 Reservation of right to require additional verification
Kovered reserves the right to require, at any time and without prior notice, additional verification or qualifications from any Helper, including but not limited to:
- Background checks (criminal history, sex offender registry, identity verification beyond Stripe Identity)
- Drug testing
- Professional licensure verification (for licensed services)
- Liability insurance verification
- Updated identity verification
Failure to comply with such requests may result in suspension or termination of Helper privileges.
If Kovered does require background checks in the future, the cost may be passed on to Helpers (with notice), or absorbed by Kovered. Background checks, if conducted, will be performed by reputable third-party providers and will be subject to applicable consumer reporting laws (e.g., FCRA in the U.S.).
14.4 Self-reported credentials, licenses, and certifications
Helpers may choose to add credentials to their profile — such as licenses, certifications, qualifications, an issuing body, or photos of supporting documents (collectively, "Self-Reported Credentials").
Kovered does not verify, validate, endorse, or guarantee the authenticity, accuracy, currency, or validity of any Self-Reported Credential. Self-Reported Credentials are provided solely by the Helper and are displayed on an "as-is," self-reported basis. A credential shown on a Helper's profile does not mean Kovered has confirmed it, that the Helper is licensed, insured, or qualified, or that the Helper is authorized to perform any regulated or licensed activity.
Helpers are solely responsible for the truthfulness of their Self-Reported Credentials and for holding any license, permit, registration, or insurance actually required by law to perform a given task. Submitting false, expired, altered, or fraudulent credentials is prohibited (see Section 12), is the sole responsibility of the Helper, and may result in immediate suspension or termination — but Kovered is not liable for any Helper's misrepresentation of their credentials (see Section 18).
Askers are responsible for independently confirming any credential, license, or qualification that matters to them before engaging a Helper, particularly for tasks that may require a licensed or insured professional. Helpers should not upload documents containing sensitive personal information they do not wish to share, as profile credentials may be visible to other users.
15. Intellectual Property
15.1 Kovered's IP
The Service, including all software, designs, text, graphics, the Kovered name and logo, and all related trademarks and trade dress, is owned by or licensed to Kovered and is protected by copyright, trademark, and other intellectual property laws.
You may not:
- Copy, modify, or create derivative works of the Service.
- Use Kovered's trademarks, name, or logo without our prior written consent.
- Frame or mirror any portion of the Service.
- Use any data mining, scraping, or similar tools.
15.2 Limited license to use the Service
Subject to your compliance with these Terms, Kovered grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes (or commercial purposes solely as a Helper providing services or as an Asker requesting services). This license terminates immediately upon any violation of these Terms.
15.3 Feedback
If you provide Kovered with feedback, suggestions, or ideas about the Service, you grant Kovered a perpetual, irrevocable, royalty-free, worldwide license to use that feedback for any purpose without compensation or attribution to you.
16. Termination, Suspension, and Strikes
16.1 Termination by you
You may close your Kovered account at any time by using the in-app account deletion feature or by emailing hello@trykovered.com.
Closing your account:
- Cancels any pending tasks (with refunds to Askers per Section 10).
- Deletes your profile within 30 days.
- Anonymizes your transaction history (your name is replaced with "Former User") after one year.
- Does NOT erase certain data we are legally or operationally required to retain (see Section 17 and the Privacy Policy).
You may not close your account to escape consequences of strikes, pending disputes, outstanding obligations to other users, or active investigations. We may delay account closure or retain certain data to address these matters.
16.2 Termination by Kovered — immediate ban
Kovered may immediately and permanently ban your account, without prior notice and without right of appeal, if you:
- Engage in or are credibly accused of CSAM, terrorism, organized crime, or large-scale fraud.
- Use violence, make credible threats of violence, or cause real-world harm to another user.
- Repeatedly attempt to evade Kovered fees by arranging off-platform payment after one prior warning.
- Use the Service for prohibited purposes (see Section 12).
- Create a fake account, steal another's identity, or operate multiple accounts.
- Violate any applicable law in connection with the Service.
16.3 Strike system
For lesser violations, Kovered uses a strike system:
- Asker strikes: 4 strikes within a rolling 90-day period results in a 30-day Asker suspension. 5 strikes within 90 days results in permanent Asker termination.
- Helper strikes: 3 strikes within a rolling 90-day period results in a 30-day Helper-mode suspension. 5 strikes within 90 days results in permanent Helper termination.
Strikes may be issued for, among other things:
- Excessive cancellations or back-outs (per Section 10).
- Consistently low ratings from multiple users.
- Repeated rule violations not rising to immediate-ban level.
- Helper repeatedly arriving late, no-showing, or providing poor work.
- Asker repeatedly disputing legitimate work.
16.4 Investigation-based suspension
Kovered may suspend an account pending investigation of any reported violation. During suspension:
- The user cannot post or accept new tasks.
- In-flight transactions are held until investigation completes.
- If the violation is substantiated, suspension may convert to termination per Section 16.2 or 16.3, and held funds may be released to the affected counterparty as appropriate.
- If the violation is not substantiated, the suspension is lifted and held funds are released as normal.
16.5 Appeals
If your account is suspended or terminated under Section 16.2 or 16.3, you may appeal by emailing appeals@trykovered.com within 30 days of the suspension or termination. Your email should include:
- Your account email address.
- A clear description of why you believe the action was incorrect.
- Any evidence supporting your position.
Kovered's admin team will review the appeal. Kovered's appeal decision is final. This appeal process does NOT waive any rights you may have under Section 20 (arbitration) for monetary disputes related to held funds.
16.6 Effect of termination
Upon termination of your account:
- Your right to access the Service immediately ends.
- Provisions that by their nature should survive (Sections 6, 8, 9, 11, 12, 13, 15, 17 through 23) continue in effect.
- Held funds are released per the applicable provision (refund to Asker, payout to Helper, forfeit to counterparty per Section 10).
- Outstanding obligations (kill fees, debt to other users) survive termination.
17. Data, Privacy, and Communications
17.1 Privacy Policy
Your use of the Service is also governed by our Privacy Policy, which describes what information we collect, how we use and share it, and your rights regarding your personal information. By accepting these Terms, you also acknowledge our Privacy Policy.
17.2 Communications
By creating an account, you consent to receive transactional communications from Kovered, including:
- Authentication codes (email OTP).
- Account security notifications.
- Task-related notifications (new applications, task updates, dispute notices, payment confirmations).
- Notices required by law.
These communications are essential to the Service and cannot be disabled while you maintain an active account.
Marketing communications (product announcements, tips, surveys) are sent only to users who have explicitly opted in. You may opt in or out at any time through your account settings.
You also consent to receive push notifications through your mobile device, which you may disable in your device settings at any time.
17.3 Data retention after account closure
Following account closure, Kovered retains data per the schedule in our Privacy Policy, summarized as:
- Profile data (name, email, avatar): deleted within 30 days.
- Transaction records (tasks, payments, payouts): retained 7 years for tax, legal, and audit purposes; user name anonymized to "Former User" after 1 year.
- Chat messages: retained 30 days post-closure for dispute resolution; then deleted.
- User-uploaded photos and videos: deleted within 30 days.
- Identity verification metadata (name, DOB, document type, last 4 of doc number, expiration): retained 7 years; the actual ID images live on Stripe Identity per Stripe's retention policy and are NOT stored on Kovered.
- Account verification status: retained indefinitely (prevents banned users from closing-and-reopening accounts to escape strikes).
- Fraud and abuse history: retained indefinitely.
18. Disclaimers
18.1 Service provided "AS IS"
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, KOVERED DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
18.2 No warranty of users
Kovered makes no representations or warranties about any user of the Service, including:
- That a Helper will perform a task competently, safely, or at all.
- That an Asker will pay, communicate honestly, or treat a Helper respectfully.
- That any user is who they claim to be (notwithstanding identity verification, which has limits).
- That any user does not pose a safety, financial, or legal risk to others.
While Kovered uses Stripe Identity to verify Helpers' identities and reviews Helper applications, identity verification is not a guarantee of trustworthiness or safety. Background checks are not currently performed (see Section 14).
You assume all risk in transacting with other users. You are solely responsible for evaluating any Asker or Helper before engaging with them.
18.3 Service interruptions
Kovered does not guarantee that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We may modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.
18.4 Third-party services
The Service relies on third-party providers (including Stripe, Apple, Supabase, Resend, Vercel, and others). Kovered is not responsible for the acts, omissions, security, availability, or terms of any third party. Your use of third-party services through the Service is subject to those third parties' terms.
19. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
19.1 No indirect damages
KOVERED, ITS OFFICERS, DIRECTORS, EMPLOYEES, MEMBERS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF KOVERED HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
19.2 Cap on direct damages
KOVERED'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, IN ANY 12-MONTH PERIOD, SHALL NOT EXCEED THE GREATER OF:
(A) THE TOTAL FEES YOU PAID TO KOVERED IN THE 12 MONTHS PRECEDING THE CLAIM, OR
(B) ONE HUNDRED U.S. DOLLARS ($100).
19.3 Exceptions
The limitations in Sections 19.1 and 19.2 do NOT apply to:
- Liability arising from Kovered's gross negligence, willful misconduct, or fraud.
- Kovered's indemnification obligations under Section 21.
- Intellectual property infringement claims by Kovered against you.
- Liability that cannot be limited or excluded under applicable law (e.g., certain consumer protection laws).
19.4 Allocation of risk
You acknowledge that the limitations in this Section are a fundamental basis for the bargain between you and Kovered. Kovered would not be able to provide the Service on the economic terms it does without these limitations.
20. Mandatory Arbitration and Class Action Waiver
20.1 PLEASE READ CAREFULLY
This section requires you to resolve disputes with Kovered through individual binding arbitration. By accepting these Terms, you waive your right to a jury trial and your right to participate in any class, collective, or representative action.
20.2 Agreement to arbitrate
You and Kovered agree that any dispute, claim, or controversy arising out of or relating to (a) these Terms, (b) the Service, (c) any user-to-user transaction conducted through the Service, or (d) the relationship between you and Kovered, shall be resolved exclusively through binding individual arbitration rather than in court, except as provided in Section 20.5.
20.3 Arbitration administrator and rules
Arbitration shall be administered by the American Arbitration Association (AAA) in accordance with the AAA Consumer Arbitration Rules (available at https://www.adr.org). If the AAA is unable or unwilling to administer the arbitration, the parties shall agree on a substitute administrator or, failing agreement, a court of competent jurisdiction shall appoint one.
20.4 Procedure
- Filing. Either party may initiate arbitration by filing a Demand for Arbitration with the AAA and serving notice on the other party.
- Venue. Arbitration shall be conducted virtually (by video conference) unless both parties agree to in-person proceedings, in which case the venue shall be Sacramento, California, or another location mutually agreed by the parties.
- Arbitrator. A single neutral arbitrator selected per AAA Consumer Rules.
- Costs. Filing and arbitrator fees shall be paid as set forth in AAA Consumer Rules. Generally, you will pay a filing fee not exceeding $200, and Kovered will pay all remaining filing, administrative, and arbitrator fees. Each party bears its own attorneys' fees and other costs unless the arbitrator awards them per applicable law.
- Authority. The arbitrator shall have authority to grant any remedy that would be available in court, subject to the limitations in these Terms.
- Decision. The arbitrator's decision shall be final and binding. Judgment on the award may be entered in any court of competent jurisdiction.
20.5 Carve-outs from arbitration
The following claims are NOT subject to mandatory arbitration:
- Claims that may be brought in small claims court in your county of residence, provided the claim qualifies under that court's jurisdictional limits and remains in that court (no removal to higher court).
- Claims for injunctive or equitable relief to protect intellectual property rights (Kovered may seek such relief in court).
20.6 Class action waiver
YOU AND KOVERED AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.
If a court or arbitrator determines this class action waiver is unenforceable as to any particular claim, that claim (and only that claim) shall be severed from arbitration and may proceed in court, but the balance of this Section 20 shall remain enforceable for all other claims.
20.7 30-day opt-out
You may opt out of this Section 20 (Mandatory Arbitration and Class Action Waiver) by sending written notice to legal@trykovered.com within 30 days of first creating your Kovered account. Your opt-out notice must include your full name, account email, the statement "I opt out of arbitration," and your signature. Opting out does not affect the remainder of these Terms.
20.8 Survival
This Section 20 survives termination of your account and these Terms.
21. Indemnification
You agree to indemnify, defend, and hold harmless Kovered, its officers, directors, employees, members, agents, and affiliates from and against any and all claims, demands, lawsuits, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use or misuse of the Service.
- Your violation of these Terms or any applicable law.
- Your User Content (including any claim that your User Content infringes a third party's rights).
- Your conduct toward any other user or third party in connection with the Service (including any task you perform as a Helper, request as an Asker, or interaction in chat).
- Your breach of any representation or warranty made in these Terms.
Kovered shall provide you with prompt notice of any claim subject to indemnification. Kovered may, at its option, assume the defense of any such claim, in which case you shall cooperate fully.
This indemnification obligation is mutual: Kovered will indemnify you for claims arising from Kovered's gross negligence, willful misconduct, or breach of these Terms by Kovered, subject to the limitations in Section 19.
22. Governing Law
These Terms and any dispute arising out of or relating to them or the Service shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-laws principles, except that the Federal Arbitration Act (9 U.S.C. § 1 et seq.) governs the interpretation and enforcement of Section 20.
Subject to Section 20 (Mandatory Arbitration), the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Sacramento County, California for any matter not subject to arbitration.
23. Modifications to These Terms
Kovered may modify these Terms at any time. Material modifications will be communicated to you by:
- Posting the updated Terms on the Service with a new "Last Updated" date, AND
- Sending notice to your account email or via in-app notification at least 30 days before the changes take effect (for material changes that adversely affect your rights).
Your continued use of the Service after the effective date of any modification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and may close your account.
Non-material modifications (typo fixes, clarifications, additions to disclosures that don't change your rights) take effect immediately upon posting.
24. Miscellaneous
24.1 Entire agreement
These Terms, together with the Privacy Policy and any other agreements expressly referenced, constitute the entire agreement between you and Kovered regarding the Service and supersede all prior or contemporaneous agreements, communications, and understandings, whether written or oral, on the subject matter.
24.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be severed and the remaining provisions shall remain in full force and effect. Where possible, an unenforceable provision shall be modified to the minimum extent necessary to make it enforceable.
24.3 No waiver
Kovered's failure to enforce any provision of these Terms shall not be deemed a waiver of that provision or of any other provision. Any waiver of any provision must be in writing signed by Kovered to be effective.
24.4 Assignment
You may not assign or transfer these Terms or any of your rights or obligations without Kovered's prior written consent. Kovered may freely assign these Terms in connection with a merger, acquisition, sale of assets, or by operation of law.
24.5 Force majeure
Kovered shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, governmental actions, internet outages, or third-party service failures.
24.6 Relationship of parties
Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and Kovered.

24.9 Apple-specific terms (for iOS app)
If you accessed the Service through the Apple App Store, the following additional terms apply:
- These Terms are between you and Kovered only, not with Apple. Apple is not responsible for the Service or its content.
- Your use of the Service is subject to the Apple Media Services Terms and Conditions and the App Store Terms of Service.
- Apple has no obligation to provide support or maintenance for the Service.
- In the event of any failure of the Service to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the app. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the Service.
- Kovered, not Apple, is responsible for addressing any user claims relating to the Service.
- Kovered, not Apple, is responsible for any claims that the Service infringes a third party's intellectual property rights.
- You represent and warrant that (i) you are not located in any country subject to a U.S. embargo or designated as a "terrorist supporting" country, and (ii) you are not on any U.S. government list of prohibited or restricted parties.
- Apple and its subsidiaries are third-party beneficiaries of these Terms with the right to enforce them against you.
